Wealthrone Affiliate Program Terms and Conditions

 

You acknowledge the acceptance of the Terms of Use by having filled the details necessary for the creation of your Account, having checked the box stating “By signing up to our Affiliate Program, you accept the Terms of Use and agree that we may process your personal data in accordance with our Privacy Policy and Cookie Policy.” and having clicked the “Join Now” button on https://app.wealthrone.com/signup-affiliate.php , thereby assenting to these Terms between Wealthrone Ltd and you. Wealthrone Ltd will be referred as “Wealthrone” or “the Provider” and you as “You” or “the Marketer” and these terms as “Agreement” or “Terms of Use”. If you do not agree to these Terms, you must immediately discontinue your use of the Wealthrone Affiliate Program

 

1. Affiliate Commission

 

Your commission will be 13% of the amount Wealthrone successfully gets from the new customers attracted by You during the first 12 months of their registration.

 

The Provider has developed software that enables users to buy and sell cryptocurrencies automatically (the “Software”).

The Marketer is willing to promote the Software to possible users. 

IT IS AGREED as follows:

 

The Marketer acts as an independent affiliate marketer and promotes the Software, trying to attract entities to sign a software service contract with the Provider. When successful, the Provider will pay the Marketer a commission that is dependent on the Provider’s successful billing from these new users  (“New Users” / “New User”). 

 

The Marketer guides New Users to type the Marketer’s referral code into the “referral” field upon registration. New Users are then recognized as being attracted by the Marketer. Existing users cannot nominate the Marketer as their reference/affiliate.

 

The Provider has a right to reject the New Users.

 

The Provider bills the New Customers monthly or quarterly. The Marketer is entitled to receive from the Provider 13% of the amount that the Provider has received from the New Users. The Provider will pay the commission monthly, if the payment is equivalent at least to 0,002 BTC. If the amount is smaller, the Provider will pay when the minimum amount of 0,002 BTC is reached.

 

For example: the gain in the New Users’ accounts enabled by the Software in June are combined 10 BTC. The Provider bills 3 BTC plus VAT from the New Customers in July. All New Users pay their bills in July. In August, the Marketer receives 3 BTC * 0.13 = 0.39 BTC from the Provider.

 

The Provider will pay these commissions to the Marketer 12 months from each New User’s signing up date. After 12 months the Provider is not entitled to any commission regarding that specific New User. 

 

The Provider has a right to change the billing cycle and billing method with unilateral notification, taking immediate effect. In this case, the Provider will still transparently share the amount paid by the New Users with the Marketer.

 

The Bitcoin Address you provide will be the Bitcoin address to which Wealthrone service provider will send

the commissions. Please be aware that Wealthrone is not responsible in case of a mistake with the Address.

 

2. Liabilities

 

The Marketer acts as a free agent and has no right to negotiate or make any promises or commitments or give discounts or sign contracts on behalf of the Provider. Both parties are responsible for their own costs. The Marketer commits to inform one’s status to every New User, in order to make sure that the New User understands that the Marketer does not represent the Provider. The Agreement does not grant any exclusivity to either party. 

 

You are solely responsible for the payment of all taxes for payments made to You within the Wealthrone Affiliate Program

 

The Marketer has no obligation to work, but can provide this service occasionally.

 

The Marketer commits to informing all New Users that:

- No results are guaranteed and all assets of the New Users may be lost permanently

- The Provider is not liable for any possible losses of the New User, even if they are caused by the Software

- Past performances do not predict future returns 

- Gains in the amount of cryptocurrencies and/or profits in fiat currencies may cause tax liabilities to the New Customers

- The Provider is not a registered asset manager and shall never provide any advice regarding any investments, markets, bookkeeping or taxation, to anybody

- The Software is buying and selling Inverse Perpetual Futures. The taxation of Futures may be treated differently than more simple spot trading of cryptocurrencies. The New User is solely responsible for figuring out the taxation of futures in a country where the New User is taxable

 

You will not infringe Wealthrone’s trademarks.

 

You will not tarnish Wealthrone’s reputation.

 

- You must not operate or utilize a website or email a Link to such a website which contains or promotes any of the following types of content: illegal, violent, libelous, defamatory, obscene, abusive, hacking, bigoted, anti-brand messaging or that offer illegal goods or services. 

- You must not use or place Links on copycat sites, sites under construction, doorway pages, sites or pages with automatic redirect. 

- You must not spam, mass email, or perform any similar mass messaging. You warrant the following: (i) each addressee on an email list has opted-in to receive emails from You; (ii) upon request the You will provide verified opt-in status for recipients of mailing lists used to promote Wealthrone products; (iii) each email sent by the You must contain instructions to unsubscribe from receiving future emails. Your e-mail address must be included in all emails. You must not use the Wealthrone brand name or misspellings in the “From” address line. 

- When placing the Links into a content (banners, emails or any other advertising formats), you must ensure that this content is not misleading, aggressive or unfair, as provided by Directive 2005/29 dated 11 May 2005. In particular, you shall ensure that information on the Wealthrone products, their prices or any applicable discounts, strictly complies with the latest information provided by Wealthrone to you. You warrant Wealthrone against any claim from any third party regarding such content. 

- You must not use automated systems, bots or scripts.. 

- You must refrain to use search engine in any way that could lead to an automated display of your Link. 

- You must not use adware/malware to place Links in. 

- You are not allowed to place Links on couponing or cashback sites. 

- You must not in any way generate or contribute to generating Artificial Traffic to wealthrone websites. 

- You must not interfere or disrupt any other person from using the wealthrone websites, including but not limited to by transmitting any worms, viruses, spyware, malware or any other code of a destructive or disruptive nature, or in any other manner encourage or facilitate violations of these Terms of Use

 

As a Marketer, You must refrain from making any warranties and/or representations concerning Wealthrone or assume any obligation of any kind whether express or implied on behalf of Wealthrone. You are not allowed to use Wealthrone’s intellectual property rights, except if and as explicitly authorized under these Terms. You must not violate any rules, guidelines or instructions that Wealthrone may convey with respect to Wealthrone Affiliate Program, impersonate any person or entity, or making any false statement pertaining to your identity or engage in any activity that constitutes or encourages conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any applicable law.

 

As a Marketer, you must comply with laws at all times. 

- You shall not target countries or individuals subject to Sanctions, and hereby represent and warrant that you will undertake all necessary endeavors not to generate traffic nor facilitate any sales of Wealthrone’s products and services to such countries or individuals. 

- You shall provide us with the correct information regarding your name and surname  or your company name, country, BTC address and/or any other information required for your use of the Wealthrone Affiliate Program and hereby represents and warrants that any information provided by You is valid.

- At Wealthrone’s request, you must inform Wealthrone all the places where You are promoting the Software. 

- You shall not deviate from any of the obligations as defined by these Terms, without having obtained the prior written permission from Wealthrone.

The information included on Wealthrone websites do not constitute legal, financial, or investment advice and is not intended as a recommendation for buying, trading, or selling crypto assets. It is recommended to do your own research before starting to buy, trade, or sell crypto assets.

 

3. Termination

 

The Provider has the right to change the Software service or its pricing or terminate the whole business without prior notifying the Marketer. If for any reason the Provider does not get payments from any New User anymore, it shall automatically mean a termination of the Agreement. In this case, no further payments are made to the Marketer.

 

Wealthrone can terminate the Wealthrone Affiliate Program or a person’s ability to participate at any time for any reason and without notice.

 

Both the Marketer and the Provider can terminate the Agreement by notifying the other party by email. The Agreement shall then end immediately. In this case, the Provider still pays the commissions earned by the Marketer, if the remaining balance is at least the minimum of 0,002 BTC. If the Marketer has violated this contract or been dishonest towards the New Users or made false claims to them, the commission payments shall stop immediately.

 

The parties do not have a right to transfer the party's rights and / or obligations of this Agreement or the Agreement itself to a third party.

 

4. Eligibility

 

To become a Marketer:

- You represent and warrant that you are at least 18 years of age. If You have not reached the age of 18, You are not allowed to participate in the Wealthrone Affiliate Program.

- You represent and warrant that the information furnished to Wealthrone about Yourself is true, accurate, up to date and complete and you agree to update such information on the Affiliate Interface as necessary to maintain its truth and accuracy. You must notify Wealthrone immediately of any changes in the information by updating the information on the Affiliate Interface.

- You represent and warrant that either the rights to all information and content on the website or social media you place Links in belong to You, or that the owner of the website has given to You permission to such publication. You also represent and warrant that the information on the Marketer’s website do not infringe any rights of

third parties, including intellectual property rights, and that such information and productions are, and shall not be, offensive or prohibited.

- You represent and warrant that you have all the rights of ownership on the BTC payout address indicated as your BTC payout address.

- As a Marketer, you are solely responsible to ensure that the websites used to place Links comply at all times with all applicable laws, rules and regulations, including but not limited to any copyright laws. You must comply with all the rules and laws.

- You must notify Wealthrone immediately of any known or suspected improper or wrongful use of the Links to the Linked Websites and/or to the Wealthrone Affiliate Program or of Wealthrone's service in any way whatsoever, including with regard to Sanctions Authorities’ requirements.

- You agree to only use the Wealthrone Affiliate Program for the purposes intended and as permitted by these Terms and in accordance with applicable laws. If you use the Wealthrone Affiliate Program in breach of these Terms or applicable laws we may suspend your use of the Wealthrone Affiliate Program.

 

5. Limitation of liability

 

To the maximum extent permitted by law, in no event will Wealthrone, its officers, shareholders, employees, agents, directors, subsidiaries, affiliates, successors, assigns, suppliers, or licensors be liable for 1 any indirect, special, incidental, punitive, exemplary, or consequential damages; or 2 any loss of use, data, business, or profits (whether direct or indirect), in all cases arising out of the use or inability to use Wealthrone’s services, third party resources, regardless of legal theory, without regard to whether Wealthrone has been made aware of the possibility of those damages, and even if a remedy fails of its essential purpose. Wealthrone will not be liable in case of failure of the Wealthrone Websites, interruptions in the accessibility to the Wealthrone Websites, infringements on data or loss of data on the information handling system, defects in the security system or viruses or other harmful software components in the Wealthrone Websites or for any damage caused by viruses or components to the Marketer's website(s) or account(s). Wealthrone shall not be liable for any error in the implementation of the Links the Marketer’s places on websites or for the specified function of the Links. Nothing in these Terms removes or limits Wealthrone’s liability for fraud, fraudulent misrepresentation, death, or personal injury caused by its negligence, and, if required by applicable law, gross negligence.

 

6. Indemnity

 

You (and any third party for whom You operate a website that links to the Wealthrone Websites) shall indemnify, defend and hold Wealthrone and each of their officers, directors, members, employees, affiliated entities, subcontractors and agents harmless against any claims, losses, damages, expenses (including reasonable attorneys’ fees) arising out of a breach by You of these Terms, an actual or alleged infringement of a person’s intellectual property rights You, of the contents of Your website and/or social, of any incorrect information given to Wealthrone by You, of Your improper, negligent or unauthorized use of Wealthrone’s Affiliate Interface and technical problems or loss of data caused by You on Wealthrone’s website, or of any promotion related to Wealthrone products that You administers on your website or any other platform. You shall cooperate as fully required by Wealthrone, as applicable, in the defense of any such claim. Wealthrone reserves the right to assume the exclusive defense and control of any matter subject to indemnification by You, and You will not settle any claim without the prior written consent of Wealthrone (which shall not be unreasonably withheld)

 

7. General

 

Entire agreement: Except where otherwise provided, these Terms constitute all the terms and conditions agreed upon between you and Wealthrone and supersedes any prior agreements in relation to the subject matter of these Terms. In the event of any conflict between these Terms and any other document referred to herein, these Terms shall prevail.

 

Severability and waiver: In the event that any provision of these Terms is declared void or inapplicable, it shall be deemed to be replaced by a valid provision reflecting as closely as possible the objective pursued by the original provision. The other provisions shall not be affected and shall remain in full force and effect. The fact that Wealthrone does not exercise its rights arising from these Terms does not in any case constitute a waiver or loss of these rights.

 

Assignment: Wealthrone may assign these Terms or any part of them, and Wealthrone may delegate any of its obligations under these Terms. You may not assign these Terms or any part of them, nor transfer or sublicense your rights under these Terms, to any third party.

 

Changes to the Terms: Wealthrone reserves the right to change these Terms at all times by publishing an amended version on the Wealthrone website. You are free to decide whether or not to accept a revised version of these Terms. If You do not agree to any revised version of these Terms, You must discontinue your use of the Wealthrone Affiliate Program.

 

This Agreement is governed by and shall be construed in accordance with Finnish law.
